The shareholder proposal process has become a dramatic theater for debating political and social topics, from guns and climate change to human rights, an arena that has felt the impact of the voting power of passive investment funds and proxy advisory firms.

Whatever one’s position on such topics, the proxy proposal process and the regulatory framework is the subject of active debate. Should the shareholder proposal process be used for these purposes? What about the effect of voting by passive investment funds? Does the proxy advisory industry serve shareholders? What regulatory reforms, if any, should be considered?
